License Agreement

By purchasing, downloading, or using any product from Jx Studios (the “Product”), you (“Licensee”) are granted a limited, non-exclusive, non-transferable, and revocable license to use the Product in your creative projects under the conditions outlined below.

This license does not grant ownership of the individual elements within the Product (e.g., sounds, samples, files, or content) but provides specific usage rights. Jx Studios is not responsible for any actions, legal obligations, or consequences arising from your use of the Product. Failure to comply with these terms will result in the immediate termination of your license and may lead to legal consequences, including liability for any unauthorized use.

1. License Grant & Permitted Use

You may use the Product in your original creative works, including music, videos, and other media, for streaming, commercial releases, and performances.
You may use the Product in projects intended for profit, distribution, and promotion.
This license allows for commercial use without requiring additional royalties, unless otherwise specified for a specific Product.

2. Restrictions & Unauthorized Acquisition

You may not distribute, resell, sublicense, or share the original or unaltered elements of the Product with third parties.
The Product is licensed only to you, and redistribution of any kind is strictly prohibited.
You may not falsely claim ownership of any part of the Product.
Unauthorized Acquisition: If you acquire the Product through any means other than an official purchase from Jx Studios (e.g., piracy, unauthorized resale, file-sharing, or third-party sellers not approved by Jx Studios), you have no legal rights to use, distribute, modify, or monetize the Product.
Any unauthorized use of a Jx Studios Product will be considered willful copyright infringement and subject to legal action.

3. License Termination Upon Refund or Unauthorized Acquisition

If a refund is issued or if you obtained the Product illegally:

Your license is immediately revoked, and you lose all rights to use, stream, or distribute the Product in any form.
You must permanently delete all copies of the Product from your devices, storage, and backups.
Continued use after a refund or illegal acquisition is considered copyright infringement and will be subject to legal enforcement.

4. Legal Consequences of Unauthorized Use

Unauthorized use of a Jx Studios Product, whether from an illegal source or after a refund, is a violation of copyright law and will be aggressively enforced. Violators are subject to:

Statutory Damages: Up to $150,000 per violation under U.S. Copyright Law (17 U.S.C. § 504).
Financial Penalty: A minimum fee of $500 to $5,000 per unauthorized use may be pursued for damages.
Legal Action: Jx Studios reserves the right to pursue civil and/or criminal action against individuals or entities violating these terms.

5. Unauthorized Distribution & DMCA Enforcement

Jx Studios actively monitors unauthorized distribution of its Products. If any Product is found on:

File-sharing platforms (e.g., Google Drive, Dropbox, WeTransfer)
Public forums, torrent sites, or resale platforms
Unauthorized marketplaces or private groups

Jx Studios will file DMCA takedown notices and pursue legal claims against the responsible parties.

6. Enforcement Measures

To prevent abuse, Jx Studios may:

Blacklist violators, banning them from future purchases.
Embed digital fingerprinting to track unauthorized use.
Block flagged accounts, payment methods, and IP addresses.

7. Reporting Violations

If you suspect illegal use or distribution of a Jx Studios Product, report it to info@jxstudios.ca with relevant proof (e.g., screenshots, links).

8. Licensee Responsibility, Indemnification & Disclaimers

Full Responsibility: You are solely responsible for all uses of the Product and ensuring compliance with any applicable laws, copyrights, or third-party rights.
Indemnification: You agree to indemnify, defend, and hold harmless Jx Studios from any claims, damages, or legal actions (including attorney fees) arising from your use of the Product.
No Warranties: The Product is provided "as is" with no warranties, express or implied.
No Liability: Jx Studios is not liable for any direct, indirect, or consequential damages related to your use of the Product.

9. Agreement & Governing Law

By purchasing or using any Jx Studios Product, you acknowledge and agree to this License Agreement.
This License is governed by the laws of the United States, and disputes will be resolved under U.S. jurisdiction.
Any breach of this agreement results in immediate termination of your license and potential legal enforcement by Jx Studios.

Jx Studios takes copyright infringement seriously and will pursue violations to the fullest extent of the law.
